Terms of Service

1. Agreement to Terms

By accessing or using PromptConduit ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the Terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

PromptConduit is an AI-powered prompt management and analysis platform that helps developers:

  • Capture and store prompts from AI coding assistants
  • Analyze prompt patterns to identify workflow preferences
  • Generate personalized CLAUDE.md files and instruction sets
  • Manage and organize AI interaction history

3. Account Registration

3.1 Account Creation

To use certain features of the Service, you must register for an account. You may register using OAuth providers (Google, GitHub) or email/password.

3.2 Account Responsibilities

You are responsible for:

  • Maintaining the security of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring your account information is accurate and current

3.3 API Keys

You may generate API keys to access the Service programmatically. You are solely responsible for securing your API keys and any usage through them.

4. Acceptable Use

You agree NOT to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service or servers
  • Scrape, crawl, or spider the Service without permission
  • Use the Service for any illegal or unauthorized purpose
  • Harass, abuse, or harm other users
  • Impersonate others or misrepresent your affiliation

5. Your Content

5.1 Ownership

You retain ownership of all prompts, patterns, and content you submit to the Service ("Your Content"). We do not claim ownership of Your Content.

5.2 License Grant

By submitting Your Content, you grant us a limited license to store, process, and analyze Your Content solely for the purpose of providing the Service to you. This license is:

  • Non-exclusive and revocable
  • Limited to operating the Service
  • Terminated when you delete Your Content or your account

5.3 No Training Use

We will never use Your Content to train AI models or share it with third parties for AI training purposes.

6. Intellectual Property

The Service and its original content (excluding Your Content), features, and functionality are owned by PromptConduit and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our trademarks may not be used in connection with any product or service without prior written consent.

7. Payment Terms

7.1 Plans and Pricing

The core CLI is free to use locally. Paid plans (Team, billed per seat per month, and Enterprise) are described on our pricing page, and prices may change with notice.

7.2 Billing

Payments are processed through Stripe. By providing payment information, you authorize us to charge the applicable fees.

7.3 Refunds

Fees already paid are generally non-refundable. We may, at our discretion, provide refunds in cases of technical issues or service unavailability.

7.4 Free Trials

We may provide free trials or promotional offers. Trials may expire and have no cash value.

8. Service Availability

8.1 No Guarantee

We strive for high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control.

8.2 Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We will make reasonable efforts to notify you of significant changes.

9. Third-Party Services

The Service may integrate with third-party services including:

  • OAuth providers (Google, GitHub) for authentication
  • Stripe for payment processing
  • Cloudflare for hosting and infrastructure

Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for third-party services.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROMPTCONDUIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless PromptConduit and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your Content

13. Termination

13.1 By You

You may terminate your account at any time by deleting your account through the Service settings or by contacting us.

13.2 By Us

We may terminate or suspend your account immediately, without prior notice, for:

  • Breach of these Terms
  • Fraudulent or illegal activity
  • Non-payment of fees
  • Extended inactivity
  • At our discretion with reasonable notice

13.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may delete Your Content after a reasonable retention period.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law provisions.

15. Dispute Resolution

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on this page
  • Updating the "Effective Date"
  • Sending you an email notification

Continued use of the Service after changes constitutes acceptance of the new Terms.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PromptConduit regarding the Service and supersede all prior agreements.
